Palm Creek Softball Association

Constitution & By-laws

(As approved at the 2017 Membership Meeting held Thursday, February 16th, 2017)

A.  Name of the Organization:

The official name of the organization is the "Palm Creek Softball Association”.

B.  Authority:

The "Palm Creek Softball Association" is a volunteer group that exists and operates under the approval and authority of the Palm Creek Golf & RV Resort" through its Activity Director and Management.

C.  Purpose:

The purpose of the Palm Creek Softball Association and its Executive Committee is:

·       to represent the interests of participating softball players who comprise its membership,

·       to act as formal liaison to the Palm Creek Golf & RV Resort and its Management in matters related to softball activities,

·       to assist the Sport Manager in the promotion, organization and support of a variety of softball activities for residents of the Palm Creek community,

·       to provide leadership necessary to maintain the association and a variety of softball programs,

·       to facilitate the establishment of an Executive Committee and to hold executive and general meetings to implement and review its purpose, goals, by-laws and various softball programs,

D.  Goals of the Executive Committee:

The Executive Committee is responsible for conducting the business of the Association                                                                                                                               and shall be the official liaison to the Sports Manager and Management in all matters related to softball programs. In addition to representing the interests of all softball participants, the Executive Committee will:

·       provide an organizational structure to encourage and promote participation in softball as an enjoyable activity for the Palm Creek community,

·       to provide opportunities and the organization for softball players to select from a range of skill levels including: men's/women's/ co-ed recreational softball, park league teams, tournament and exhibition softball teams,

·       assist the Sports Manager in the provision of leadership and appropriate facilities, equipment and schedules to address the needs of each group,

·       meet regularly to consider all matters related to softball activities and prepare reports and proposals for consideration at the Annual General Meeting, as required,

·       Call an Annual General Meeting on or prior to March 5th, provide reports, obtain approvals and conduct elections for the Executive Committee positions established under the by-laws,

·       assist the Sports Manager and Management by providing input, as requested, on any matter related to softball activities and programs, or the provision of facilities and equipment,

·       organize and conduct social and fund-raising events to support softball programs.

E.  Membership:

All members who have paid season dues, or are non-playing Managers, or are non-playing members of the Executive Committee. Membership includes the acceptance and support of the association purposes and the adherence to the stated or implied Association goals, guidelines and By-Laws. All members may participate in General Meetings, provide input to the Executive Committee for its consideration, and vote in elections and on proposals presented for membership approval.

F.  Annual General Meeting:

The existing Executive Committee shall call an Annual General Meeting on or before March 5th each year to consider the following:

·       report on the activities and events of the past season,

·       report on the activities/events planned for the upcoming season,

·       approval of amendments to the Constitution & By-laws, if required,

·       election of the Executive Committee positions as per by-laws,

·       approval of the Annual Financial Report,

·       approval of proposals/recommendations of the Executive Committee,

·       receive input on any matter related to softball activities.

Palm Creek Softball Association Constitution and By-laws

1.          Name of Organization

The official name of the organization is the “Palm Creek Softball Association”


2.    Definition

The word “Association” in the Constitution and By-laws refers to the Palm Creek Softball Association.

3.    Purpose


The Association of the Association is to:
a)      Provide a quality softball program for all residents of Palm Creek.
b)       Provide softball programs for those seeking a recreational softball experience and for those seeking a higher skill competitive softball experience.
c)      Liaise with other softball organization with the goal of enhancing the softball experience of Palm Creek residents.
d)       Provide liaison between the softball participants and the owners of Palm Creek Resort.

4.    Goals of the Executive Committee


The Executive Committee is responsible for conducting the business of the As- sociation. The Executive shall be the official liaison with the owner of Palm Creek resort and represent the interests of all softball participants.
The Executive Committee will:
a)   provide an organizational structure to encourage participation in softball as an enjoyable activity for any persons living in the Palm Creek resort.
b)    provide playing opportunities for softball players from a range of skill levels including men and women recreational softball, league teams and tournament teams.
c)    assist Palm Creek in the operation and maintenance of the softball facilities
d)    meet regularly to consider all matters related to softball activities, and to pre- pare reports and proposals for consideration at the Annual General Meeting.
e)   Call an Annual General Meeting on or prior to March 5th, provide reports, ob- tain approvals and conduct elections for the Executive Committee positions estab- lished under the By-laws.
f)   organize social and fund raising events to support the softball programs.

5.    Membership


All players who have paid the season dues are considered members of the As- sociation. Any non playing persons who are actively volunteering for the softball pro- gram are considered members of the Association. All of the above persons are eligible to participate in General Meetings, including the casting votes at any meeting of the Association.
Membership includes the acceptance and support of the Association’s purpos- es, goals, Constitution and By-laws.


6.    Annual General Meeting


The existing Executive Committee shall call an Annual General Meeting on or before March 5th each year to consider the following:

a)   report on activities and events of the past year
b)    report on plans for the next year
c)    approval of amendments to the Constitution and By-laws if required
d)    election of Executive Committee positions as per By-laws
e)   approval of financial report
f)   approval of proposals / recommendations of the Executive Committee
g)    receive input on any matter related to softball activities.
